• Keyword research and analysis
• SEO consulting and training
• Website performance monitoring

All services are provided on a project basis or through ongoing retainer agreements as specified in your service agreement.

User Responsibilities

By using our Services, you agree to:

• Provide accurate and complete information about your website and business
• Grant us access to necessary accounts and tools for service delivery
• Respond to our communications in a timely manner
• Comply with applicable laws and regulations
• Not engage in any illegal or unethical SEO practices
• Respect intellectual property rights
• Maintain backup copies of your website and data
• Notify us immediately of any security concerns or unauthorized access

Service Fees and Payment

Pricing

Service fees are as quoted in your proposal or service agreement. All fees are exclusive of applicable taxes, which will be added to your invoice.

Payment Terms

• Payment is due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend services for non-payment
• All payments are non-refundable unless otherwise stated in writing
• Retainer clients will be billed monthly in advance

Refunds

Due to the nature of SEO services, all payments are generally non-refundable. In exceptional circumstances, refunds may be considered on a case-by-case basis at our sole discretion.

Intellectual Property

Our Intellectual Property

All content, methodologies, tools, software, and materials developed by Crawlar remain our intellectual property. You are granted a limited, non-exclusive license to use deliverables for your business purposes only.

Your Intellectual Property

You retain ownership of your website, content, trademarks, and other intellectual property. You grant us a limited license to access and modify your website for the purpose of providing our services.

Confidential Information

Both parties agree to maintain the confidentiality of proprietary information, client data, and trade secrets disclosed during the course of our business relationship.

Service Level Agreement

Performance Standards

We strive to provide high-quality services but cannot guarantee specific SEO results, as search engine algorithms and ranking factors are subject to change and beyond our control.

Communication

• Regular progress reports will be provided as specified in your agreement
• Email responses within 24 hours during business days
• Monthly strategy calls for retainer clients
• Emergency support available for critical issues

Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance.

Limitation of Liability

To the maximum extent permitted by law, Crawlar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid by you for the specific service giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, or otherwise.

SEO Results Disclaimer

Important: While we use industry best practices and proven methodologies, we cannot guarantee specific SEO results. Search engine rankings depend on numerous factors including algorithm changes, competition, and website quality.

• SEO is not an exact science and results vary by industry and competition
• Google and other search engines frequently update their algorithms
• Ranking improvements typically take 3-6 months to become visible
• External factors beyond our control may affect performance
• We provide strategies and recommendations, not guaranteed outcomes

Termination

Termination by Client

You may terminate services at any time with 30 days written notice. All fees for services rendered up to the termination date will be due and payable.

Termination by Crawlar

We reserve the right to terminate services immediately if you breach these Terms, fail to make payments, or engage in unethical practices.

Effect of Termination

Upon termination, all rights and licenses granted to you will cease. You remain responsible for all outstanding payments and obligations.

Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through good faith negotiations. If resolution cannot be reached, disputes will be subject to binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall take place in New York, New York, and the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between you and Crawlar regarding the subject matter hereof.
